1.  Financial Preparedness

-  My financial records (last 3 years) are accurate, organized, and up to date.

-  I have clean, clearly documented tax returns.

-  My SDE (Seller's Discretionary Earnings) is well-documented and provable.

-  I can provide a current, accurate balance sheet.

-  My business has minimal or no personal expenses mixed in.

2.  Market & Valuation Awareness

-  I know the current fair market value of my business.

-  I understand the market trends in my industry.

-  I know the typical sale multiples for businesses like mine in Central Virginia.

3.  Operations & Transition Planning

-  My business could run smoothly without me for 30+ days.

-  There is a trained management or key staff who can operate independently.

-  I have documented standard operating procedures (SOPs).

-  Critical vendor, client, and lease agreements are transferable.

4.  Growth & Appeal to Buyers

-  My business shows year-over-year revenue or profit stability/growth.

-  We have a diverse customer base (no over-reliance on a few accounts).

-  There are growth opportunities a new owner could easily pursue.

5.  Legal & Compliance

-  All licenses and permits are current.

-  There are no outstanding legal disputes.

-  My lease or property agreements are clear and favorable for transfer.

6.  Personal Readiness

-  I have a clear post-sale plan (financial, personal, professional).

-  I know the tax implications of selling.

-  I'm emotionally prepared to let go of my business.

20-24 points Ready to sell now - Your business is in excellent shape for the market.

 

14-19 points Sale possible, but value could be higher - Address the gaps to maximize your price.

 

Under 14 points Not ready yet - With targeted preparation, you can greatly increase value and buyer appeal.
